THE LINKS BOARD OF DIRECTORS MEETING
Dec 18, 2008

The meeting was called to order at 9:05 a.m. by Tom Myers, President.

MOTION:  Moved that we approve the Minutes of the Nov 20, 2008 Directors Meeting.  M/S/C (Motion/Seconded/Carried)

Treasurer’s Report – John Alley provided copies of the following:

      1.   Links HOA Income & Disbursements reports for 2008 4th.  Quarter (Dec 01, 2008).
2.   Links HOA 2009 Approved Budget.

John Alley, Treasurer, reviewed the Income and Disbursements, 4th. Quarter Report, 2008.

There was a miscellaneous expenditure of $116 for Christmas decorations. This expenditure had been approved by the board.

The 2009 Approved Budget included a modification that reflects dues paid to the SRSHOA Master Association.  The budget will be re-done at the end of December to include 2008 year end expenses.

There was a near miss in funding the Links Christmas Party.  The Social Committee negotiated a price based on a minimum of 50 people.  The week prior to the party there were approximately 37 people committed to attend, which would have resulted in an increase of approximately $6 per person.  At the time of the party, we were one meal short of the 50 minimum.  John Alley paid for the extra meal at his own expense with the intention of bringing it to a neighbor who was not able to make the Christmas party.

There was discussion about raising money for the Social Committee.  It was decided to deal with this issue when the new board meets in 2009. One option mentioned was to have a board member be a part of the Social Committee.  This board member would then be able to present proposals to be considered by the board.

MOTION:  Moved that we accept the Links HOA Income & Disbursements report (M/S/C)

President’s Comments – In anticipation of questions at the Annual Meeting relating to the HOA budget, Tom Myers felt we needed to vigorously support continuing to fund the reserves avoiding possible assessments in the future.  We are entering an increasingly more difficult economic environment and possible future assessments could be problematic.  John Alley, Treasurer, pointed out that the HOA Board unanimously took the position to fund the reserve account to the amount of $270,000, and is ready to defend and clarify the Board’s position at the annual meeting.

Secretary – Ron Perlman reported receiving a call from a homeowner who received a Ticket Notice informing him of the HOA’s rule (8.1.3 of the CC&R’s ) that applies to new plantings or replacement of existing trees or shrubs which may have been damaged.  It was explained that Ticket Notices are routinely sent out as a way to provide a non confrontational means to let homeowners become aware of infractions of HOA rules. It was also explained that it is the ARC, and not the Board who makes a ruling.  After the ARC ruling, an appeal may be presented to the Board.  

Legal Affairs: Carmen Scarlotts had nothing to report.

Physical Plant: In Fred Baders absence there was nothing new to report.

Fred was contacted and decided not to run for a second two year term because of his inability to attend Board meetings due to a conflict with volunteer work he does at the Veteran’s Hospital in Tucson. Fred indicated he will be willing to remain active as a member on the physical plant committee after his current term expires on Jan 22, 2009.

John Alley said that whoever becomes the Physical Plant Coordinator will have to look at the possibility of resurfacing our streets.  It is suggested that resurfacing be done every 3-5 years. Resurfacing will reduce the damage done to our streets from cracks, water damage, etc.   Resurfacing costs are estimated to be around $15,000 and complete surfacing can run as high as $150,000.

Landscape: In Gerald Vigoren’s absence, John Alley reported the end of the year landscape invoices were submitted and have been paid.  The landscape budget has funds to cover an initiative to add additional gravel behind the six houses at the northwest side of Fade Drive.

ARC/Compliance:  Margie Glieden, provided an overview of the complaint about a planting that was done as a replacement.  There was some disagreement as to what was there before.  Based on the information available, Margie Glieden felt that the main concern of the complainant was related to their view. Since views are not protected, she decided in favor of the homeowner who planted the tree.

Communication: New homeowner binder needs to be updated and will be tasked to the new Communication person.  The current binder will be reviewed to see what needs to be replaced.

Old Business:   Holly Arvanites, Vice President, reported receiving a letter from Mindy Cox, CFM Senior Hydrologist Flood Plain Management Division, in response to a phone call expressing concern of serious erosion along the Santa Cruz River near Greenside Place.  The following was written in the letter dated December 10, 2008.

“The erosion along the west bank of the Santa Cruz River in the vicinity of Greenside Place appears to be on property owned by Torres Blancas Holding LLC, and as such, this property owner is responsible for addressing any maintenance issues on their property.  Any proposed bank protection at this location is subject to review and permission by the District.”

“This location will be placed on the schedule for monitoring by the District Infrastructure Management Division.”

“The District evaluates each complaint with the Flood Plain and Erosion Hazard Management Ordinance as well as the need to perform maintenance activity, if it involves public drainage infrastructure. In this case, the District has not found any Ordinance violations or public drainage infrastructure that required maintenance. Based on these determinations, the District has concluded that no further action can be taken regarding the reported erosion on the west bank of the Santa Cruz River in the vicinity of Greenside Place.”

In the ensuing discussion it was determined that we will eventually have to contact our attorney and to determine possible course of actions available to us.

The meeting was called to order at 9:00 a.m. by Holly Arvanites, Vice President.

Treasurer’s Report – John Alley provided copies of the following:

John Alley, Treasurer, reviewed the Income and Disbursements, 4th. Quarter Report, 2008.

The landscaping bill is currently up to date. Board members were reminded to get their bills in before the end of the year.

The Reserve Account Certificate of Deposits increased to $95,168.00. This reflects the moving of maturing CDs out of the Operations Account into the Reserve Account.  An additional $4,590 is in a Reserve Savings Account which brings our total reserves to $99,742.  Current Operations Accounts are $15,490.

MOTION:  Moved that we accept the Links HOA Income & Disbursements report (M/S/C)

The Links 2009 Proposed Budget is $44,600 which is $2070 or 4.87% more than the 2008 budget. The proposed budget is slightly less than the $44,830 of income generated from HOA Dues and interest income.

MOTION:  Moved that the proposed budget for 2009 be approved. (M/S/C)

2009 HOA dues notices will be mailed December 15, 2008. The dues remain the same as they have since the beginning of the HOA, $445.00.

President’s Comments In Tom Myers absence there was nothing to report..

Secretary – Ron Perlman reported the following:

 Phyllis Zuehike volunteered to be the chairperson of the Christmas Decorations Committee.  After a brief discussion, the Board authorized Phyllis to spend up to $200 to update decorations. Any purchases above this amount will require Board approval.

Following up on a complaint, a ticket notice was sent to a homeowner informing them of the following:  Except for the replacement of existing trees or shrubs which may have died or been damaged, any new plantings must have ARC approval as per article 8.1.3 of the CC&R’s.

Anita Lichter agreed to fill Mark Dallanegra’s vacated position on the Links Board of Directors.  Tom Sparby volunteered to serve on the Links Board.  Both Anita and Tom will have their names placed on the ballot that will be mailed out on or after January 01, 2009.  One more volunteer is still needed to fill an anticipated vacancy.

The SRSHOA Master Association voted 5-2 to charge its members dues of $5 per household for 2009. The increase in dues are in anticipation of increase legal fees that will be incurred as the Master Association explores ways to divest its responsibilities, and to pay insurance and maintenance for the cart path between the Greens and Santa Rita Springs

MOTION:  Moved that Links HOA 2009 budget be amended to include $470 dues to be paid to the SRSHOA Master Association. (M/S/C).

At the SRSHOA Master Association it was reported, it is not feasible for the Master Association and its members to receive tax exempt status under the 501c4 statute.

Legal Affairs: Carmen Scarlotts had nothing to report.

Physical Plant: In Fred Baders absence, it was reported that one of the two bulbs lighting west gate marquis was replaced.  In the following discussion, it was mentioned that the bush in front of the light prevents the Links marquis from becoming fully illuminated.  Gerrald Vigoren will follow up and have the bush moved or trimmed. 

Landscape: Gerald Vigoren reported that after the landscaper placed some large rocks across the path from the 4th hole at the corner of Wedge Way and Chipshot Drive, he received complaints from the president of the Fairways stating their homeowners use the path to get to Abrego.  One of the rocks was moved by someone unknown to allow for carts to pass through.  Gerrald met with Jeff Bogner, Golf Course Superintendant, who was accommodating, and said his men will no longer drive through that path. Large coarse gravel will be deposited in that area to reduce the amount of debris that might have been dragged onto our streets by golf carts.

In December, the golf course will start cleaning out their side of the wash that runs along Chipshot Drive. The Links side of the wash has been started and will also be completed in December.

Jeff Bogner, Golf Course Superintendant, showed Gerald a picture taken by the Army Corp of Engineers that show the erosion along the 8th fairway.  The golf course has no intention of paying the $750,000 it would cost to prevent more erosion because the problem was allegedly caused by the pecan company’s use of a bulldozer to divert the river.  After a brief discussion, it was decided to file a complaint with the Pima County Flood Control.

 Our landscaper took out a tree on the common area behind 2807 S. Fade Drive.  The two large mesquite trees in the common area behind 2812 Greenside Place will be trimmed.

 The landscape budget was increased by $3000 to cover future costs of adding an additional 10 -15 ft. of gravel to cover the common area at the northwest side of Fade Drive. There was continued discussion about improving the area.  Hank Glieden transplanted some natural desert plants in the bare common area at the northwest end of Fade that is close to the wash on Abrego.

New Business:   Gerald went to the county meeting about the frontage road extension plans and reported that the project is on track. The money for the project is set aside in a dedicated account and cannot be diverted.  Information about the project can be seen at the Pima County projects page (http://www.roadprojects.pima.gov/I19Frontage).

The meeting was called to order at 9:03 a.m. by Tom Myers, President.

Treasurer’s Report – John Alley provided copies of the following:

      1.  Links HOA Income & Disbursements reports for 2008 3rd.  Quarter (Oct 06, 2008).
2.  2009 budget worksheets for Landscape and Physical Plant.
3. Worksheet showing recommendation to allocate funds to the Links HOA Reserve Fund.

John Alley, Treasurer, reviewed the Income and Disbursements, 3rd. Quarter Report, 2008.

 As of October, we have spent 39% of our budget.  September expenditures were $6198.47.

The Links HOA has 6 common areas. We received property tax bills for only two ($26.10 & $32.20).  John Alley was able to print out the four missing bills from Pima County’s web site, and mail out payments of $4.75 for each.

At the end of September, we had operating funds of $53,753.01 which includes  $35,755.22 invested in two CDs that are now designated as operating CD's.  John Alley proposed moving the funds from the maturing CDs into the Non Dedicated Reserve Fund, increasing those funds from $63,579.39 to $99,334.61.  This will bring us up to 36% of our current reserve target of $277,500.  The remaining $17,997.79 in the operating funds will be enough to pay bills and still have funds left over for contingencies.

MOTION:  Moved that we move funds from the maturing CD of $35,755.22 into the Non Dedicated Reserve Fund. (M/S/C),

Board members should have proposed budgets for their respective areas ready for the November meeting.   To facilitate the process, worksheets were provided for Landscape and Physical Plant.

MOTION:  Moved that we accept the Links HOA Income & Disbursements report (M/S/C),

President’s Comments Tom Myers reported receiving an email from Carole Blazick, Neighborhood Watch Chairperson requesting we consider putting the two recently replaced neighborhood watch signs in new locations.  The board agreed to relocate the replaced neighborhood watch signs to the area near the mail boxes on the east side and the north entrance of the west side.

Tom Myers received a complaint from a homeowner about dogs barking early in the morning when being walked along Abrego. The complainant was told to contact the homeowner whose dogs are making the noise.  The board agreed this is not an HOA issue, and therefore the board should not get involved.

At a previous SRSHOA Master Association’s meeting, Bob Williams, Treasurer, requested an assessment of $5 per household be reinstated.   As of August 18, 2008, the Master Association had $30.638.24 available. Total outflows were $4,772,  

MOTION:  Moved that we vote against any assessment proposed at the November meeting of the SRSHOA Master Association. (M/S/C),

Tom Myers provided a draft letter encouraging Links homeowners to serve on the Board.  The board made suggestions to be incorporated into the final draft.  

There was a discussion about those on the board who would be up for reelection and whether they agreed to be up for reelection.  Holly Arvanites, Margie Glieden, and Gerald Vigoren agreed to have their names placed on the ballot for 2009.  Since Fred Bader and Carmen Scarlott were absent from this meeting, their intentions are unknown. Tom Myers will contact them for their decision.

Secretary – Ron Perlman informed the board of Marc Dallanegra’s resignation effective October 16, 2008. The board accepted Marc’s resignation.

The Facility Reservation Agreement from GVR was distributed to all board members.  Surprisingly, all HOA requests were met.  Therefore, all regular board meetings will continue to be the 3rd Thursday of each month at 9:00 am, with the exception of June – August. The annual meeting is scheduled for January 22, 2009 in the Fiesta Room at 9:00 am.

There have been a number of homeowners who have indicated their willingness to be part of the Christmas Decorations Committee.  Ron is waiting to hear from a few more before getting the group together to choose a chairperson or co-chairperson, as well as a game plan.

A homeowner on Fade Drive informed Ron Perlman he will have a truck parked for one week in his driveway in order to fix wires that were chewed while in storage.  After the repair work, the truck will be moved back to its previous location.

Legal Affairs: In Carmen Scarlotts absence, there was nothing to report.

Physical Plant: In Fred Baders absence, it was reported that the bulb at the east gate entrance was replaced.  In an e-mail, Fred reported that the light stays on permanently.  The problem appears to be related to the misplacement of the sensor. 

Landscape: Gerald Vigoren reported both irrigation timers went out on the west side planters near the west gate entrance. This resulted in the loss of some plants.  The timers were replaced and new plants will be added.

There have been 4 or 5 truckloads of gravel placed behind the 5 houses on the northwest side of Fade Drive.   The gravel will go out approximately 15 feet.  Granular pre-emergent to keep weeds down was placed under the gravel and more will be placed on top. After the last couple of truckloads of gravel are brought in, the remaining weed and debris will be removed.

A couple of trees in the common area on the west side of Abrego were trimmed or cut back.  One was cut back significantly. If it doesn’t come back it will be replaced.  Another tree on the south end of Abrego on the east side will be trimmed back because it is currently encroaching on the sidewalk.

 The golf course has been hauling gravel using the path from the 4th hole at the corner of Wedge Way and Chipshot Drive. This has resulted in a large area of rocks being dumped on our streets.   In order to prevent this from continuing, Jerry will have the landscaper place some large rocks across the path.

ARC/Compliance:  Margie Glieden’s reported that Hank Glieden took care of the weeds on the house adjacent to the east gate on the southeast corner of Abrego.

Communication: Nothing new to report.

New Business:   Realtor sign in common area. A Long Realty sales agent has been leaving a sign in our common area.  When the realtor has an open house, she flips it up, and lays it down when the open house is over. John Alley will call the realtor to remove the sign by Monday or it will be removed and discarded.

Treasurer’s Report – John Alley provided copies of the following:

 Links HOA Income & Disbursements reports for 2008 3rd.  Quarter (Sept 01, 2008).

John Alley, Treasurer, reviewed the Income and Disbursements, 3rd. Quarter Report, 2008.  

As of August, we have spent 25% of our budget. In September, we will pay a landscaping bill of $4400.  A bill from Altech, our gate company, for $1455 was paid. Insurance covered the amount minus a deductible of $250.  

Two home sales were reported:  2735 S.Fade Dr. and 2804 S Greenside Pl. All HOA dues are up to date with the sale 2804 S.Greenside Pl.  Dues were delayed because of the foreclosure process.

John Alley asked board members to think about their respective 2009 budgets for the new year.   Budgets will be reviewed in November.  John will also prepare a proposal for the reallocation of additional money to the reserve accounts.

President’s Comments Tom Myers reported the SRSHOA Master Association’s attempt to eliminate or reduce the tax burden of the Master Association and affiliated HOAs appears not to be feasible due to public access issues.

Secretary – Ron Perlman distributed a handout listing ticket notices sent out since Oct 2006. This program has been successful as there have been few repeat offenders.  This summer, there were 4 homeowners who were sent ticket notices about excessive weeds.  In all cases, the homeowners took care of the problem.

The new GVR reservation policy was handed out and reviewed.  Effective September 1, 2008:  There will be a $25 no show fee and a $10 fee to amend schedules.  Our HOA schedule for FY 2009 has not been finalized because GVR is giving priority to groups over HOA’s.   This will most likely affect our projected board meetings for the following year.

Legal Affairs: Carmen Scarlott will follow up on the monthly GVCCC meeting by providing Ron Perlman a copy of their monthly minutes which will be distributed to Board members via email.

 Physical Plant: Fred Bader reported the west gate was fixed by Altech Security at a cost of $1445.

 Landscape: Gerald Vigoren reported that planned planting has been completed.  Weeds have been difficult to control this year due to the unusual amount of rain.  Pre-emergent will be sprayed at the beginning of December.  David Morales will continue to spray for weeds that come up.  The landscaping crews of 6 men are working every Wednesday for 3 hours.  In order to attack the weed problem, Dave Morales will have an additional crew of 3-4 men working on weeds until the problem is resolved.  The weeds in the wash along Chipshot Dr is a haven for snakes, and is therefore cleaned once a year in the winter. 

 Approximately 10 feet of gravel will be laid down behind the houses on the northwest side of Fade drive. Prior to that the area will be sprayed heavily with weed killer and pre-emergent. 

Gerald Vigoren went to a GVCCC meeting that covered common ground budgets and reported back that our landscaping bills are very reasonable as compared to what other HOA’s are paying.

 ARC/Compliance:  In Margie Glieden’s absence there was nothing to report.

Communication: In Marc Dallanegra absence, it was reported that the package for the new homeowners of 2804 S Greenside Pl was mailed out.  The binder includes copies of the CC&Rs, Homeowner Guidelines, Rules Enforcement, HOA By-Laws, and other documents.

Member Forum: Peg Norheim expressed her concerns about weeds behind the houses on the northwest side of Fade drive.  Gerald Vigoren said that our agreement with the landscaper was to leave the area in a wild state and weed whip the area twice a year in addition to trimming trees.  

Roy Stambaugh wanted to replace our landscaper.  He proposed the Board pay him the money we currently pay our landscaper, and he will take care of the Links subdivision.  After discussing the issue, the Board decided not to accept Roy Stambaugh’s proposal.  

The board did agree to initiate a "frontal assault" on the issue of weed removal and control.

Old Business:   None

New Business:  RV parking regulations.  After a brief discussion the Board decided not to change the current regulations covering RV parking.

May 15, 2008

The meeting was called to order at 9:00 a.m. by Tom Myers, President.

MOTION:  Moved that we approve the Minutes of the April 15, 2008 Directors Meeting.  M/S/C (Motion/Seconded/Carried)

Treasurer’s Report – John Alley provided copies of the following:

 Links HOA Income & Disbursements reports for 2008 1st.  Quarter (May 01, 2008).

John Alley, Treasurer, reviewed the Income and Disbursements, 1st Quarter Report, 2008.  

Two CD’s were renewed at 2.5% and 3%.  The lower rates will result in lower income taxes for the current year.

Dues notices will be mailed out to the 19 homeowners who have elected to make payments in 2 parts.  

It is anticipated that in the fall we will be able to add money to either the Non-Dedicated Reserve Fund, or the Streets & Properties Reserve Fund.  

The mortgage company has foreclosed on the house on Greenside Place (lot 30). A dues notice will be sent to the current trustee, Tiffany & Bosco (based in Phoenix).

There was one home transfer sale from Wolcott to Rutschmam on March 18th (2775 S. Fade Drive).

MOTION:  Moved that we accept the Links HOA Income & Disbursements report (M/S/C),

President’s Comments Tom Myers reported receiving a phone call from the volunteer group associated with the Green Valley Fire Department. They were asking for approval to replace the missing blue reflectors that indicate location of fire hydrants at a cost of $5 each.  This was done, and we have not yet been billed. 

Secretary – Ron Perlman suggested we start thinking about recruiting homeowners to fill expected vacancies in the coming year.  After a brief discussion, it was decided that in September we will look at recruiting board members, and rebalancing the board so that we have an even number of positions up for election in any given year.  

Legal Affairs: Carmen Scarlott reported hearing of a homeowner who was threatening the board with legal action in order to force the HOA to take care of a problem they have with either ground squirrels, or pack rats. Our governing documents support the fact that this is the responsibility of the individual home owner and not the HOA. 

Physical Plant: In Fred Bader’s absence, Tom Myers reported that Altech will check the west gate on Friday during a regular maintenance check.   It was also reported that the west gate pad was defective and replaced by Altech.  

Landscape: Nothing to report in Gerald Vigoren’s absence.

ARC/Compliance:  Margie Glieden reported Hank Glieden is repainting the trellis in the back of the house to match the color of the house.  There were no new projects to report.

Communication: Marc Dallanegra reported receiving extra Green Valley telephone directories. He will distribute them to new homeowners..

We have spent $4,884 or 11% of our budget of $42,530.  A bill from our landscaper was received and will be reflected in next months financial report. One CD renewed at 3%. 

The owner of the house on Greenside Place (lot 30), currently in receivership, paid 4 months of HOA dues.  The bank that owned the house sold it to Mortgage Electronic Registration System. It’s assumed the new trustee bought the house at a discount and will be auctioning it off in the future.

There was one home transfer sale from Wolcott to Rutschmam on March 18th (2775 S. Fade Drive).

Secretary – Ron Perlman reported receiving complaints from homeowners who were unable to use the generic code to enter the west side gate.  The gate company (Altech) was contacted and replaced the keypad.  Altech also entered new resident’s phone numbers into the gate system.                                                            

Legal Affairs: Nothing to report in Carmen Scarlott’s absence

Physical Plant: In Fred Bader’s absence, John Alley reported the west gate continues to sporadically remain open after exiting.  This problem will be referred to Fred Bader for follow up upon his return home this month.

Landscape: Gerald Vigoren reported putting in 30 plants with approximately 10 more to plant. Smaller plants were put in because they would establish (root) better than larger plants. Plants were picked according to color and were planted in groups of three. 

The downed tree in the wash off f Chipshot Drive was removed by the golf course.

.  A homeowner complained that ground squirrels chewed through his drip line.  The exterminator said that this was caused by pack rats and not the ground squirrels.  There will be another pest control treatment to deal with the ground squirrel problems in the common area behind the houses on the northwest side of Fade drive.  The golf course has not done anything, and is not expected to do anything to eliminate the ground squirrel problem on their property.  Therefore, this is expected to be an ongoing problem.

Last year, annual flowers were put in the northwest planter by the west gate.  During a brief discussion, it was mentioned that annuals do not survive the heat during the summer.  Gerry will look into planting Zinnias, Vincas, and or Marigolds during the summer.

A drip line in the common area near the south west side of Abrego was repaired. The line was choked off by a large bush.

ARC/Compliance:  Margie Glieden reported talking to a homeowner on Fade Drive who had an odor problem in the back yard because of a neighbor’s neglecting to pick up their dog droppings.   This problem was resolved after the complainant spoke to the offending homeowner.

There were no new projects to report.

Communication: In Marc Dallanegra absence, Ron Perlman reported that Judy Miller, who distributes the Green Valley phone book, had eight books left over.  The extra phone books will be given to Marc Dallanegra to be distributed to new homeowners.

Treasurer’s Report – John Alley provided copies of the following:

 Links HOA Income & Disbursements reports for 2008 1st.  Quarter (March 4, 2008).

John Alley, Treasurer, reviewed the Income and Disbursements, 1st Quarter Report, 2008.  

To date we have spent $3,080 of which $1566 was for income taxes and accounting fees.  A bill from our landscaper is pending. 

HOA dues have been paid except for the house on Greenside Place, near the entrance (lot 30).  John Alley sent an email to the homeowner stating the Links BOD agreed to waive any penalties provided monthly payments of $37.08 are made, in addition to a $111.24 to catch up payment.  The homeowner responded, saying a check for the first three months ($111.24) will be mailed Friday.

There is one home transfer sale pending on 2775 S. Fade Drive. Closing is expected next week.

President’s Comments Tom Myers reported the homeowner at 2807 S. Fade Drive took down the Gazebo and has been compliant with parking and garage door regulations.

Ticket notices were sent out to address the following complaints.  One was for a home at the south east side of Greenside Place where the homeowner set up a golf practice net along a common wall with a neighbor.  The same homeowner was sent a ticket notice because of noise caused by barking from their dog that was left in the yard overnight.  Margie Glieden, ARC Board Coordinator, spoke to the homeowner who agreed to take down the golf practice net.  Another complaint about a truck that has been parked in the driveway of a house on Greenside Place was received.

Physical Plant: In Fred Bader’s absence, it was reported the west side exit gate sporadically remains open after exiting.  It was also mentioned that the west side entrance gate was also occasionally not responding to the generic code to open the gate.  John Alley and Ron Perlman will check the east and west side entrance gates to make sure new residents are listed in the gate directory.

Landscape: In Gerald Vigoren’s absence, there was a brief discussion about projected plans to fix up the common area adjacent to the west side of Abrego.  Planting of flowers in the marquis by the west gate was also discussed.  It was reported that the leak near the water check valve by lot 31 was fixed.

ARC/Compliance:  Margie Glieden reported that the homeowner at 521 W. Wedge Way will be putting in a screened security door in the front of the house. The homeowners of 2725 S. Greenside Place are considering entering a request to raise the wrought iron railing in the back of their house along golf course.  This will align the height more close to their neighbors railing.  

Communication: Marc Dallanegra had nothing new to report.

New Business:  Tom Myers, president, reported the SRSHOA Master Association is exploring the possibility of filing as a corporation, using form 110c that could possibly eliminate paying taxes in the future.  Another option would be to qualify for 501c4 tax exemption status as a charitable organization.  Filing cost is $750.  There is the possibility of the Master Association using one of the above options where individual sub associations would receive benefits through the Master Association.

In the following discussion, it was mentioned that we would loose some autonomy by filing as a sub association.  If any of the above options would work for the Master Association, we will look into the possibility of filing independently before considering filing as a sub association.

Treasurer’s Report – John Alley provided copies of the following:

  1. Links HOA Income & Disbursements reports for 2008 1st. Quarter (Feb 01, 2008).
  2. List of Green Valley HOA’s that included the following information: subdivision, contact or president, telephone numbers, dues, age restrictions, transfer fees, and disclosure fees.

John Alley, Treasurer, reviewed the Income and Disbursements, 1st Quarter Report, 2008.  

The house on Greenside Place, near the entrance (lot 30), has not paid HOA dues for 2008.  An email from the homeowner stated the house is going back to the bank under an arrangement  in lieu of foreclosure. The homeowner is willing to pay HOA dues on a monthly basis.  John Alley will find out what bank is involved, and when the transfer of ownership will take place. 

MOTION:  Moved to waive late fees for HOA dues and allow the homeowner to catch up and make monthly payments for the house on lot 30. (M/S/C).

The house at 2780 S. Greenside Place sold. The new owners are in the process of moving.

Income tax was more than expected because a 30 month CD came due during 07 which was not factored in the budget.  Budgeted taxes including filling fees were $1200, and the actual amount was $1550.  HOA interest earnings are taxed at 30%. In order to fall into a special tax bracket for HOA’s, a homeowner association must meet the following two criteria: 60% of income must be derived from dues, and 90% of what is spent must be for the common good.

In the list of Green Valley HOA’s, John Alley noticed contact information for some HOA’s, were Cadden Community Management.  This information will be added to information collected by the previous boards in the event we need to look into hiring a management group for the Links. 

MOTION:  Moved that we accept the Links HOA Income & Disbursements report (M/S/C),

President’s Comments Tom Myers reported receiving a proposal from Community Association Underwriters for insurance covering directors and officers’ liability.  The cost of insurance for similar coverage was a little higher than what we are paying.  Costs for the SRSHOA Master Association were also higher.  It was decided to continue with our current insurance provider.

Since the last board meeting, Mr. Tony Shoaf, homeowner, 2807 S. Fade Drive, lot 101 CC&R violations relating to parking cars in the driveway, and leaving garage doors open appear to be resolved. Therefore, it was not necessary to impose fines. However, there is still the outstanding issue of the Gazebo. Our attorney, Carolyn Goldschmidt, said that Mr Shoaf’s oral representation to Margie Glieden ARC Board Coordinator, and neighbors was part of the process in granting permission to put up a Gazebo.  In addition, the use of the word “portable” in the documentation defends the position of ARC and the Board that the Gazebo was to be up only when in use 4 or 5 times a year and disassembled and stored when not in use.

MOTION:  Moved that we initiate fines for not taking down the Gazebo starting March 10th.   (M/S/C),

Tom Myers, president, will send a certified letter to Mr. Shoaf requesting the Gazebo be taken down by the date specified in the motion, after which the following fine structure will commence: $50 per day during the first 14 days of non-compliance and $100 Per day after 14 days of non-compliance.

Secretary – Ron Perlman reported receiving an email from the people who live at 2775 Fade Drive saying there is a pending sale of their house, and requested their email be taken off the Links mailing list. 

Legal Affairs: In Carmen Scarlott absence there is nothing to report.

Physical Plant: In Fred Bader’s absence, Ron Perlman reported receiving a letter and brochure from Ace Asphalt introducing Ryan Bailey, the new Project Estimator.  This information will be given to Fred Bader.

Landscape: In Gerald Vigoren’s absence, it was reported that the leak near the water check by lot 31 was fixed.

ARC/Compliance:  Margie Glieden reported receiving a request from a homeowner on Greenside Place to enclose an open area toward the back of the house with solar screen.

THE LINKS BOARD OF DIRECTORS MEETING
Jan 15, 2008

Visitors: Bill & Marge Powers.

The meeting was called to order at 1:00 p.m. by Tom Myers, President.

The decision was made to deviate from the agenda to allow a homeowner who had been invited to the meeting to present their account of multiple violations of the CC&R’s by another homeowner.  The complainants presented a history of the violations and 14 pictures to back up their assertions.

The violations documented were:

  1. Vehicles park in the driveway well over the allotted timeframe allowed by the CC&R’s,  In fact, vehicles in the driveway for over 3 months.
  2. Garage doors remaining open for prolonged periods of time with no activity.

 The board had taken the following actions regarding the violations by this homeowner:

CC&R Violations 9.21.2 Parking Violations and 9.21.6 Garage Doors
7/30/2007 Ticket notices sent.
8/30/2007 Certified letter sent re: violations.  Letter refused by homeowner.

For a brief period, the homeowner complied with the rules, but this compliance was short lived.  

The board admitted not following up in September when the same infractions began again.  

On 1/ 07/ 2008 Ticket Notices were sent via certified mail re: Parking Requirements.

Tom Myers, president,  reported having a conversation with the homeowner about the above violations, including one that covers a gazebo which was put up with the understanding it would be used three or four times a year and taken down when not in use.

The homeowner was excused from the meeting.  Following this, the board had a long discussion regarding the issues mentioned above and unanimously passed the following 3 motions applicable to the violations on the property of lot 101, 2807 South Fade Drive:

MOTION:  It was moved and seconded that The Links Board of Directors representing The Links HOA, assess fines against the homeowner regarding the chronic violation of the HOA’s rule regarding parking cars in the driveway. The fines are to commence on January 27, 2008, after the required 10 day notification period. The fines will be assessed on a running basis under which a fine will be assessed each day the homeowner is out of compliance and no fine will be assessed on days when the homeowner is in compliance. Fines for the first 7 days of non-compliance, consecutive or not, will be $25 per day and fines for more than 7 days of non-compliance, consecutive or not, will be $50. per day. The motion was passed unanimously by the board.

MOTION:  It was moved and seconded that The Links Board of Directors representing The Links HOA,  assess fines against the homeowner regarding their habit of leaving their garage doors open for extended periods of time. During much of this time, there is no evidence the homeowner is working in the garage or working in the yard requiring access to the garage. The fines are to commence on January 27, 2008 after the required 10 day notification period. The fines will be assessed on a running basis under which a fine will be assessed each day the homeowner is out of compliance and no fine will be assessed when the homeowner is in compliance. Fines for the first 7 days of non-compliance, consecutive or not, will be $25. per day and fines for more than 7 days of non-compliance, consecutive or not, will be $50 per day. The motion was unanimously approved by the board.

MOTION:  It was moved and seconded that The Links Board of Directors representing The Links HOA assess fines against the homeowner regarding the continued presence of the portable “gazebo” in the homeowner’s backyard. The homeowner is required to dismantle and store the “gazebo” structure when not in use, which homeowner stated in the approval process would only be 3-4 times a year.  The fines are to commence on January 27, 2008 after the required 10 day notification period. The fines will be assessed in the amount of $50 per day during the first 14 days of non-compliance and $100 Per day after 14 days of non-compliance. The motion was unanimously approved by the board.

Resuming the agenda the following motion was passed:

MOTION:  Moved that we approve the Minutes of the Dec 20, 2007 Directors Meeting.  M/S/C (Motion/Seconded/Carried)

After additional discussion, Tom Myers, president, agreed to write an article for the NewsLinks reminding homeowners about HOA rules relating to parking of cars in the driveway, and leaving garage doors open.

Treasurer’s Report – John Alley

Copies of the following were provided:

  1. Links HOA Income & Disbursements reports for 2007 4th. Quarter (Dec 31, 2007).
  2. Copy of finance package to handed out at the annual meeting that includes the following:

    a. Links HOA Balance Sheet.
    b. Links HOA Income and Disbursements – 2007 Summary by Quarter (Cash Flow Statement).
    c. Links HOA Income – 2007.
    d. Links 2008 Budget (Approved).
    e. Links Reserve Position Statement (Adopted Oct 18. 2007).

John Alley, Treasurer, reviewed the Income and Disbursements, 4th Quarter Report, 2007 and year end reports listed above.

The Links HOA ended the year with a net worth of $89,560.28.  There was a gain of $20,505.01. The tax liability will not be known until next month.  Income during the year was $46,641.64. Income is derived from the following: dues, transfer fees, Interest from CD’s and savings accounts.

Money from the sale of 2663 S.Chipshot Drive which was sold December 28th was not received until January.

Dues were due today (January 15th). As of yesterday, we have money from 87 of 94 homeowners.

MOTION:  Moved that we accept the Links HOA Income & Disbursements report (M/S/C),

President’s Comments Tom Myers reported the SRSHOA Master Association, and the Greens, are reviewing quotes for directors and officers liability from Community Association Underwriters.  Our current insurance company sent a renewal package that is essentially unchanged from the previous year.  After we receive information from Community Association Underwriters, we will decide which company best suits our needs.

Tom Myers will contact Rich Elias about removing a downed tree off of Chipshot Drive near the wash.

Secretary – Ron Perlman contacted the owners of the house at 2804 S. Greenside Place and was able to obtain a current mailing address and phone number.  Links Member Directory was also updated with new information.

On 1/ 07/ 2008 Ticket Notices sent via certified mail re: Parking Requirements to the homeowner who has been flagrantly disregarding HOA CC&Rs.

Legal Affairs: Carmen Scarlott had nothing to report.

Physical Plant: Fred Bader reported the west side gate was not operating correctly.  The Altech technician said the leads to the memory chips are corroded.  The chips will be replaced at no cost to the HOA.  Fred noticed the incoming gate at the west side, where the motor is appears wobbly.  The Altech technician will also check this out when he comes to swap out the bad chips.

Landscape:  Gerald Vigoren provided before and after pictures of the fiberglass rock in front of the house on Greenside Place near the east gate entrance. The fiberglass rock was used to cover a valve belonging to Farmers Water.

The common area behind the houses on the northwest side of Fade drive was trimmed.  This is the same area that was treated for ground squirrels.  The landscaper is currently working on the arroyo between the golf course and Chipshot Drive.   

ARC/Compliance: Margie Glieden reported receiving a request from a homeowner on the southwest side of Greenside Place who will be enclosing an area around the back of the house with solar screens.

Margie Glieden suggested we redo the ARC form to allow for two signatures for approval requests of an architectural nature.

Communicationx: Marc Dallanegra reported meeting with the new homeowners at 2663 S. Chipshot Dr.
