The meeting was called to order at 9:03 a.m. by Tom Myers, President.

MOTION:  Moved that we approve the Minutes of the Nov 15, 2007 Directors Meeting.  M/S/C (Motion/Seconded/Carried)

Treasurer’s Report – In John Alleys’ absence, Ron Perlman handed out copies of the Links HOA Income & Disbursements reports for 2007 4th. Quarter (Dec 01, 2007).  After a brief review of the report the following motion was passed.

MOTION:  Moved that we accept the Links HOA Income & Disbursements report (M/S/C),

President’s Comments Tom Myers reported the SRSHOA Master Association has not yet expressed an interest in following up on the directors and officers liability insurance packet from the Community Association Underwriters.  After the first of the year, Tom Myers will get together with John Alley and review our current insurance policy and submit an application.  Our policy is effective until February 10, 2008.

Tom Myers received a call from Bud Haynes Jr., who represents the Green Valley Friends of Tumacocari.  Mr. Hayne’s group wants to have the government designate approximately 50% of the Coronado Forest as a wilderness area which would include the Tumacocari Mountains, and other mountain ranges. After discussing the pros and cons of endorsing the proposal, the board passed a motion to support it

Secretary – Ron Perlman reported the ballots for the election of officers are ready, and will be mailed to all homeowners after the first of the year.

Legal Affairs: Carmen Scarlott had nothing to report.

Physical Plant: Fred Bader reported that he was able to secure what looked like a cable box that came loose from its support near the south side of the west gate.  Fred Bader reported that he will be out of town from January 24 through April 24.   Physical Plant issues can be refereed to John Alley or Ron Perlman.

Landscape:  Gerald Vigoren reported that we are not able to do anything about a downed tree off of Chipshot that is partially in the wash because the tree is on golf course property.  Tom Meyers will talk to Rich Elias about getting the tree removed..

It was reported that David Powell, the General Manager at Torres and Canoa golf courses has stepped down.  This is unfortunate since he was able to provide us with positive feedback in reference to stabilizing the river bank near the 8th fairway.

After the water company reads the serial number off the check valve, our landscaper will lock and cover the valve with a fiberglass rock in front of the house on Greenside Place near the east gate entrance. 

It was reported the area around the house on lot 30 is unkempt with dead plants and overgrown with weeds. Hank Glieden sprayed the area a few days ago. However, this may not remedy the problem and Jerry Vigoren was advised to have out landscaper clean up the area if needed.  David Morales will bill the homeowner directly. The house was for sale and now appears to be off the market.

ARC/Compliance: Margie Glieden reported receiving an email from a homeowner requesting temporary permission to leave a car in the driveway from 8:00pm – 8:00am for 4 months.  This request was denied and the homeowner was told that any complaints would result in board involvement.  

There was another request to put up a gazebo from the same homeowner. He was told that he had to put sleeves in the ground, where poles can be inserted so the gazebo can be taken down when not in use.  The homeowner agreed to abide by these conditions. However, the gazebo went up November 20 and is still up.

In addition to the above, a storage unit was put in the backyard without ARC approval.  

Another neighbor took pictures, and complained about the garage door being left open during the day.

It was reported that the violations relating to the above homeowner are covered in the following sections of the CC&Rs.

After the first of the year, Tom Myers, President and Margie Glieden, ARC Board Coordinator, will talk to the homeowner about the above infractions and inform him that the HOA will assess fines if CC&R infractions are not corrected by a specific date in accordance with the Links Rules Enforcement.

Treasurer’s Report – John Alley

John Alley, Treasurer, reviewed the Income and Disbursements, 4th Quarter Report, 2007.

$8000.00 was transferred to the Streets & Properties Reserve.  Interest income of $904.50 from a maturing CD was reported.

Links dues notices will be mailed out by December 15, 2007.

There were two home closings: 2717 S. Chipshot Dr., and  2675 S. Chipshot Dr.

President’s Comments In Tom Myers absence, Ron Perlman attended the meeting of the SRSHOA Master Association.  Ron handed out copies of an insurance packet he received from the Community Association Underwriters.  The package will be reviewed.  Hopefully, SRSHOA Master Association and its members will be able to negotiate contracts that would provide the same level of coverage or better with a reduction in cost.  The Links insurance is not due until February 2008. 

Secretary – Ron Perlman reported sending out one ticket notice to homeowner, re: loud or obtrusive noise or sounds caused by wind driven halyard and flag retainer hooks striking the flagpole. The ticket notice was mailed Oct 26, 2007.

Homeowner Guidelines were changed to comply with the Arizona statutes that relate to for sale signs.  The updated version was posted on the Links web site.  Current copies of the Homeowner Guidelines and Links Homeowners Directory will be provided to Marc Dallanegra for inclusion in homeowner’s binder that is given to all new residents.  John Alley will follow up and make sure new binders have updated documents.

Legal Affairs: Carmen Scarlott had nothing to report.

Physical Plant: Fred Bader reported recent problems we have had with the gates opening and closing at different times. This was caused by a software upload from a computer that had the wrong time on its internal clock. This affected all HOAs that were under contract with Altech.  The problem was fixed.

There was a complaint about a water pipe that is covered by a green canvas bag in the common area in front of a home on Greenside Place near the east gate.  This valve was placed there prior to the house, complies with code, and prevents water from backing up from our irrigation system in the event city water is turned off.

Landscape:  Gerald Vigoren will put in a fiber glass rock to cover the valve in from of the house on Greenside Place near the east gate. The landscaper will add some rocks around it with small plantings.  The water company was called to look at the valve and said our HOA is responsible for having the valve inspected once a year by a licensed plumber.  Farmers Water has not informed HOA’s of this regulation and is planning on sending out letters to all HOA’s about the requirement to have annual inspections.

The landscaper cleaned up some of the common areas along the west side of Abrego.   In the following discussion it was determined that the area needs more work.  

On the south side of the west entrance, Fred Bader reported an irrigation tube with no emitter.  Gerald will notify the landscaper to fix it.

Member Forum:  Dieter Kaminski, a resident of the Springs, presented a case to have the board contact GVCCC (Green Valley Community Coordinating Council) to put up a sound proof wall either between our homes and Frontage Road or I-19.  In addition to reducing sound, the wall will also provide an additional level of security.

Holly Arvanites, Vice President will send a letter to GVCCC requesting they encourage the appropriate government officials to build a sound wall as per Dieter Kaminski’s request.

New Business:  Christmas decorations. Not having anyone or group responsible for doing the Christmas decorations has be problematic every year. It was determined that we need to have a permanent committee or sub committee to take on the responsibility.  Holly Arvanites will talk to the Social Committee about adding it to their functions. Ron Perlman will also send out an email asking for volunteers.

Treasurer’s Report – John Alley

John Alley, Treasurer, reviewed the Income and Disbursements, 3nd Quarter Report, 2007.

We have spent 40% of our budget through the end of September.  We need to get bills in before the end of the year.  Bills from the landscaper and Altech are pending.  

Real estate taxes of $61 were paid.  

A $25,000 CD came due.  $8,000 went into a CD dedicated to the streets and properties reserve.  $10,000 went into the operating account in the form of another CD.  The balance, including $880 in earned interest, went into the checking account. 

MOTION:  Moved that we accept the Links HOA Income & Disbursements report (M/S/C),

The proposed 2008 budget was kept basically the same as the 2007 budget with minor changes. $1,000 for erosion control was removed.  There were small increases in storage rental, maintenance contract for the gates, and income taxes & accounting fees.

MOTION:  MOTION:  Moved that the proposed budget for 2008 be approved. (M/S/C)

John Alley initiated a discussion about the need for the board to take a position on the reserves to cover the following in order to minimize the need for possible future special assessments and borrowing. Below are estimated future costs:

Resealing and patching the streets every three years - $15,000
Complete repaving of streets - $150,000
Replacing the mechanisms for both gates - $12,500
Non dedicated reserves (contingency) - $100,000
(curbs, sidewalks, disaster, litigation)

MOTION:  Moved that we maintain dues at the current rate of $445 per lot.  (M/S/C).

MOTION:  Moved that the position of the board is to utilize all available funds to build up reserves to meet future needs such as gates, streets, erosion control, landscaping, etc. and wherever and whenever possible to  minimize the need for assessments and the borrowing from lending institutions. (M/S/C).

John Alley mentioned that some homeowners are paying their HOA dues late and not responding to second and third notices.  Dues notices will be sent out on December 15th with a note at the bottom stipulating a fee schedule for late payments. Fine schedule will also be entered into the homeowners’ guidelines.

MOTION:  Moved that we approve a fine of $25 for HOA dues that are 30 days late. Additional $25 fine will be imposed for each 30 day period dues are late.  (M/S/C).

There is one home transfer sale pending on 2717 S. Chipshot Dr.  Closing is expected at the end of the month.

President’s Comments – Tom Myers, President, reported he had a productive meeting with Dave Powel, Director of Golf at Torras Blancas/Canoa Ranch. The golf course has been trying to get funding from the county to put rocks in the eroded areas along the 8th fairway on Torres Blancas. They are also talking to Farmers Water, owners of the pecan fields. Tom Myers is hopeful that the Army Corp of Engineers who are involved in the process will provided additional pressure on Farmers Water to cooperate. .  It is anticipated the situation will be resolved before the next monsoon season.

Tom Myers spoke to a contact from the Community Associations Institute in reference to insurance for directors and officers.  There should be a report and proposal ready for the December meeting.  Our policy expires February 8, 2008.  It is hoped that we can leverage our membership in the SRSHOA Master Association to secure more favorable rates for the Master Association and its members.

As members of GVCCC, we have access to Community Associations Institute (CAI) programs, resources, and rights to attend meetings using a member fee schedule.  Therefore, we do not need to pay to join CAI.

The Links HOA Annual Meeting is scheduled for Thursday, January 24th in the Fiesta Room at 9:00am.

Secretary – Ron Perlman shared an email about “for sale’ signs he received from Carolyn Goldschmidt, Attorney.  She wrote that changes to Arizona’s Planned Communities Act (SB1061) has left a lot of unanswered questions. Our attorney said we can modify our existing sign specification. However, doing that could still leave us open to legal action and might be in conflict with the intent of the law which was to allow realtors to put up signs.  After discussing the matter, the board decided to allow realtors to use their own signs.

MOTION:  Moved that we discontinue our sign requirements and allow realtors to post signs as per Arizona statutes.   (M/S/C).

One ticket notice was sent out at the beginning of October to a homeowner who had cars blocking the sidewalk and driveway for 5 days.

Legal Affairs: Carmen Scarlott had nothing to report.

Physical Plant: : Fred Bader reported the gates consist of two parts: the motor and the operating system. It would cost approximately $1400 to replace them on both gates.  A new gate phone system, which includes a circuit board, memory board, and the box it comes in would cost $7050.  Altech reported the west gate circuit board that was damaged during a recent lightning storm was repaired for a little over $350. If the board needed to be replace it would have cost $2780. Altech recommended that we do not change anything unless we have ongoing problems. 

Landscape:  Gerald Vigoren reported a homeowner complained about a tree planted in the common area south of the west gate that was obstructing their view.  The tree was trimmed and thinned making it less likely to be taken out by the wind.  A second homeowner complained about a bush in the common area adjacent to his house that was too high.  This was also taken care of.

The landscaper is waiting for the spring to trim overgrown bushes in the common areas because the extra growth will protect them from frost damage.

Gerald Vigoren will look into putting gravel in the common area behind the houses along the north end of Chipshot.

Grub worms are getting ready for winter and have been cutting the root systems of Texas Rangers and Agaves, causing them to fall over. Javalena also kick over the trees to eat the grub worms. Homeowners may want to consider using diazinon or anther type of insecticide. 

.ARC/Compliance: Margie Gliedens reported hearing about a homeowner wanting to add an addition to his house.  However, ARC forms have not been filed.

Old Business:  Flag pole noise.   There was a complaint about a homeowner whose flag pole noise is disturbing to neighbors. This problem is especially bad on windy days.  A ticket notice will be sent as a reminder to the homeowner to rectify the problem.

Treasurer’s Report – John Alley

John Alley, Treasurer, reviewed the Income and Disbursements, 2nd Quarter Report, 2007.

Under Member Dues & Fees there was a late payment of $200 in August.  All homeowners are now current with payment of dues.  John Alley will have a recommendation for a late payment fine schedule for late payments at the next meeting

Storage rental is over budget by 133%. John Alley paid a year in advance to take advantage of a month free rent, and lock in the current rate.  Previously the HOA was billed monthly.

We spent 34% or $14,929.85 of the 2007 budget of $43,650. As of the end of August we have a balance of $98,592.66 which includes the reserve.

In the beginning of October, John Alley will cash a $25,000 CD and use $8000 to fund the Property Reserve Fund. Remaining funds, minus money needed for operations will be put into a new CD.

John Alley asked Board members to provide him with any changes to projected expenditures for their respective areas to be included in the 2008 budget. John will present the first draft of the projected budget at the October meeting.

President’s Comments – Tom Myers

Tom Meyers announced he will not be here for the November meeting.  In his absence,  Holly Arvanites, Vice President will chair the November Board meeting.

In preparation for the new year, it was determined that John Alley, Marc Dallanegra, and Ron Perlman will have completed two year terms. They agreed to serve our community again and have their names placed on the ballot for the upcoming election.  Fred Bader who filled a vacancy during the year, will also be on the ballot.  All other board members will be serving the second year of their elected two year term.

Tom Meyers reviewed a letter we received from our attorney’s office recommending we join the Community Associations Institute (CAI).  Tom Myers stated that GVCCC members are given discounts. Tom will follow up concerning the costs.

The SRSHOA (Santa Rita Springs Homeowner's Association) Master Association meeting was in Mid August.  Tom Meyers offered to use his contacts in the insurance community to look into the possibility of reducing the SRSHOA’s biggest expense; directors and officers liability insurance.  Tom also will see if insurance costs can be lowered for all Master Association members including the Links. Our current insurance policy costs $1265. John Alley will provide Tom Meyers a copy of the current policy.

Secretary Ron Perlman reported sending out two ticket notices in July to the same homeowner. Subsequently it was necessary to follow up with a certified letter outlining a fine schedule and appeal process if the homeowner did not comply.  The certified letter was refused.  The refusal to accept the certified letter does not prevent the HOA from imposing fines.  Ron Perlman reported that just after receiving the certified letter the homeowner complied with HOA regulation and no other action was taken.

Legal Affairs: Carmen Scarlott mentioned there was a concern about the placement of a homeowner’s satellite tv dish. The complainant did not provide specifics and therefore no follow up action is required.

Physical Plant: Fred Bader reported the west side gate stopped working after Labor Day because of a failed circuit board. Alltech removed the board and returned it to California for diagnosis.  If it can be repaired, we will not be expensed under our maintenance agreement provided it was not destroyed by a lightning strike and it is repairable. If it was damaged by lightning or is un-repairable, we will have to buy a replacement at a cost of $2700. Fred Bader is expecting to hear from Altech about the condition of the circuit board. Altech did say that our gate on one of the longest lasting original systems that they are servicing.  Inquires about the costs of replacing our gate system will be made after repairs are completed.

Landscape:  Gerald Vigoren reported that the Ground Squirrel problem in the common area behind lots 90 -94 was taken care of at a cost of $375 for three months. The company provided an extra month without additional costs to us.  

Trees and cacti lost because of the monsoons are being replaced. Ocotillo lost will be replaced and Mesquites trees lost on Greenside will be replaced by Arizona Oak trees.  On the west side of Abrego, plants will be planted in groupings of three to fill barren areas.  Three Texas Rangers were placed in the area behind the sign near the west gate.  So far this year, we have put in about 18 new plants. We were not charged for replacement plants put in last year because they were guaranteed.

There was some discussion about homeowners who have not been taking care of their properties by allowing weeds and or plants to grow wild.  Tom Meyers and Gerald Vigoren will contact two homeowners directly.

.ARC/Compliance: In Margie Gliedens’ absence it was mentioned that a homeowner has questioned some board members about adding an addition to his house.  The homeowner was referred to ARC.   

Communications:  Marc Dallanegra reported that he is running out of binders for new homeowners.  He will have more printed up for future needs.

Member Forum:

Old Business:  Erosion along the 8th fairway on Torres Blancas. Tom Meyers will contact Dave Powel as to status of repairing or preventing additional erosion.

Treasurer’s Report – John Alley

Copies of the following were provided:

John Alley, Treasurer, reviewed the Income and Disbursements, 2nd Quarter Report, 2007.

There was receipt of a $70 transfer fee from the sale of 2789 S. Greenside Place (from Evans to Massa). The sale of 2829 S. Greenside Place (from Calene to Kline) is pending, and is expected to close in June.

Income of $2,165 in April was from CDs that came due. Two CDs were renewed.  One from Washington Federal for 6 months at 5.25%, and one from Bank of America  for 8 months at 5%.

The replacement check mailed to landscaper, Dave Morales, was cashed and the account is now up to date.

Dues letters for the second half of the year were mailed out to 23 homeowners on May 15th.  Funds are due on June 15th

President’s Comments – Tom Myers

In Tom Myers absence, Ron Perlman went to the SRSHOA (Santa Rita Springs Homeowner’s Association meeting on May 16th and reported the following:

It was recommended that we contact Rod Davis, one of the principals of Premier Homes, in reference to the debris on Frontage Road and Torres Blancas Drive. It was also noted that landscaping along the road has contributed to debris build up.  If there is no improvement, Holly Arvanites will follow up by calling Rod Davis next month.

If we have damage to the curb along Abrego, we can call GVCCC at 648-1936 to initiate a work order to have Pima County make necessary repairs.

Ron Perlman provided copies of a legislative update on bill SB1330 that was distributed at the SRSHOA Master Association meeting.  This bill was passed by the legislature and is pending action by the Governor.  This bill damages the ability to enforce CC&R provisions as it impairs the obligation to pay assessments secured by a consensual lien. In the following discussion it was mentioned there was some language in the bill that Governor Napolitano objected to and therefore she did not sign the bill.

There was discussion of pending bond issues for the building of a sports park, and bike path in Green Valley.  Another bond issue mentioned was for the extension of East Frontage Road including work that will be done at the Continental exit.

The Border Patrol is planning to build a permanent high tech check point by the Aqua Linda Exit on 19.

SRSHOA Master Association authorized the resurfacing of the cart path between The Greens and The Springs and declared a dues holiday for 2008. 

The Master Association’s biggest expense is liability insurance for a cart path and bridge. The underwriters base the premiums on the number of homes represented by the Master Association.  This year the premium was $2949. The Master Association will explore the possibility of getting better rates from other companies.  As of 4/30/2007 the SRS Master HOA account Balance is $38,013.

The Legends are now using large 64 gallon containers for trash pick up and 34 gallon containers for recyclables.  Waste Management provided the containers and picks up once a week.  The savings was minimal. However, reducing the number of pick ups by half should reduce ware and tear on their streets.  

Companies competing with Waste Management are:
Juno Environmental Services (use large trucks like Waste Management).
Taking Trash and Green Valley Services (use smaller trucks).
No one indicated they were in negotiations with any of the three competitors to Waste Management.

Secretary Ron Perlman provided each board member with an updated Links Member Directory. The web site Member Directory was also updated.

Legal Affairs: Carmen Scarlott.  Nothing to report.

Physical Plant: Fred Bader reported that Norbert Bisek repaired the expansion joint between the curb and sidewalk by 2845 S Greenside Place. A bill for supplies in the amount of $20 was submitted.

Fred repaired the section of curb between 2815 and 2823 S. Fade Drive and submitted a bill of $24 materials used. 

Landscape:  In Gerald Vigoren’s absence, visitor Bill Lehman said the common area behind lots 90 – 94 that face Torres Blancas 7th fairway have an area of Palo Verde and Mesquite trees. This area has been routinely neglected by the landscaper and every year the residents have to request it be cleaned up.  Bill would like the board to eliminate the need to make this request each year. Gerald Vigoren will be informed and contact David Morales, our landscaper, to work on that area.  Since the area in question is part of our common grounds, it should be routinely attended to like other common areas.

ARC/Compliance: Margie Glieden reported: The Massas and Mannings have permission to put up a screen enclosure by the front door.   Bill Hutchinson will paint his house the same color, and Dorothy Hurd put in a water fountain in the back yard.  Margie expressed some concern about a neighbor that has patch on the side of the house that is not the same color as the house.  In her absence, Anita Lichter will follow up.

Treasurer’s Report – John Alley

Copies of the following were provided:

John Alley, Treasurer, reviewed the Income and Disbursements, 1st. Quarter Report, 2007.

John reported the landscaper, Dave Morales, who has an erratic history of sending out bills lost the check that was sent out 2/21/2007.  Gerald Vigoren will follow up with David Morales, and if needed John will place a stop on the lost check and issue a new one.

There was one closing on 2789 S.Greenside Place (lot 11).  There are no pending home closings. Two recent closings were 2861 S.Greenside Place (lot 20) and  2844 S. Greenside Place (Lot 25).

There are three CDs coming due. The CD from the Reserve Account due today is with BOA (Bank of America). Two other CDs are with Washington Federal are due on April 27th.  John will be checking rates at other banks and decide whether to continue to keep the Reserve Account CD with BOA.

President’s Comments – Tom Myers

Tom Myers went to a GVCCC leadership meeting that focused on the responsibilities of the president, treasurer, and secretary. He distributed handouts to John Alley, and Ron Perlman.

Tom reported on an upcoming leadership training session for HOA’s sponsored by The Community Association Institute, and will notify board members of specifics when the information becomes available.

Barbara Servatka will need material for the Newslinks that will be done on a quarterly basis.  Tom will submit articles on two educational seminars taken and will also do a piece about GVCCC.  He asked board members to make contributions for the Newslinks. Tom spoke to Rich Elias the head golf professional at Torres Blancas. Rich was vague and inferred in general terms that the Army Corps of Engineers was contacted about erosion along the 8th fairway.  Two conversations with Rich in reference to the water leak, and pallet near the tee on the 3rd hole has not generated any activity.  Tom will contact the groundskeeper’s directly in addition to calling Farmers Water.

Secretary Ron Perlman submitted a new communications form that contains basic information on new residents that includes: name, phone number (local and out of state). Address (local and out of state), and email. This information will be provided to the Neighborhood Watch, Treasurer (collects dues), Secretary (maintains homeowner’s directory), and Physical Plant (updates the entrance gate information).  After a brief discussion John Alley said he will add this to the required documents sent to new residents. Information will be verified by Marc Dallanegra, when he meets with new homeowners.

Legal Affairs: Carmen Scarlott.  Nothing to report.

Physical Plant: Fred Bader followed up on a problem area between the sidewalk and the curb by 2845 S. Greenside Place.  Fred informed the board that Norbert Bisek suggested lifting up of the expansion joint, putting sand on the bottom, and joint compound on top.  A concrete contractor from Tucson said there isn’t any structural damage to the sidewalk, curb or driveway, and the fix would be purely cosmetic.  The contractor who was not interested in doing the job said to use a high strength cement grout to fill in and smooth the gaps.

MOTION:  Motion moved and seconded the board not be involved and authorize repair of the expansion joint between the curb and the sidewalk, that this is a homeowner’s responsibility. This motion failed passage.

MOTION:  Recognizing that repairs to the sidewalk are the responsibility of the individual homeowner and repairs to the curb are the responsibility of the HOA, it was moved and seconded that the HOA pay for the repair of the expansion joint between the sidewalk and the curb of the residence at 2845 S. Greenside Place. Future requests for similar repairs will be considered on a case by case basis. The motion passed by majority vote.

Fred will ask Norbert Bisek to repair the area and bill the HOA for his time and material used.  

Fred reported that he will repair the section of curb by his house on Fade Drive.

While Fred was away he realized he was the only person with the key to the electrical control panel to the gates.  Even thought the need to access this area would occur under limited circumstances it was decided to have a duplicate key made for John Alley. 

Landscape: Gerald Vigoren reported, there were two small leaks in the irrigation system in the common areas that were fixed.  The landscaper continues to replace dead plants.  A dead century plant from the north east common area was removed and pre-emergent was sprayed in the common areas.  Gerald reported he spent about $80 on plants for the boxes by the marquis on the Links east and west entrances and is working with a master gardener who is helping him pick out plants for future plantings.

ARC/Compliance: Margie Glieden reported there are no ongoing projects.  She gave the ok for a homeowner to replace a patio cover that was blow down during a wind storm with one that had the same design. Manning submitted an ARC request for an enclosure that was approved.

Communications:.    Marc Dallanegra reported the cover for the homeowner’s binder is not done.

New BusinessThere was a complaint about excessive noise coming from the flag pole in the backyard of the home at 2765 S. Chipshot Drive.

After a brief discussion Tom Meyers agreed to talk to the Millers requesting they do something about the noise.

Treasurer’s Report – John Alley

John Alley, Treasurer, reviewed the Income and Disbursements, 1st. Quarter Report, 2007. The Operations Account Balance went down significantly because some money was transferred out of the savings account at BOA where it was making less than 1% to a CD at Washington Federal where it will be making over 5%.  John will be shopping for the best rates for three CD’s in the Reserve Account coming due in April.

There were two closings on Greenside that generated transfers fees. There is another pending closing on a house at lot 11 also on Greenside.  John receives document from the title company about pending closings and generates letters for Marc to send to the new homeowners. .

President’s Comments – Tom Myers

Tom Myers reported, the SRSHOA (Santa Rita Springs Homeowners Association) Master Association will now be meeting quarterly instead of monthly.  Tom will be attending their next meeting in May. There was a brief discussion about the need to maintain the umbrella association and how difficult it is to disband it due to legal responsible for maintaining and paying insurance for a cart path. SRSHOA also pays for a street light between Abrego and Frontage Road.  The master association has a surplus of funds and has not collected dues for the past few years.

Tom Reported the By-Laws were overwhelmingly approved. Voter participation was 92%.

A question came up about trash and debris accumulation on Torres Blancas drive off the frontage road (north east corner).  Tom Myers will follow up at the next meeting of the SRSHOA Master Association meeting.

Tom reported he went to the Torres Blancas club house to get an update on the erosion at the 8th fairway. He was unable to get information due to an ongoing tournament, however, he will follow–up and will report back to the board at the next meeting.

Secretary Ron Perlman

Ron reviewed the process of issuing ticket items, a non confrontational mechanism of notifying homeowners of CC&R infractions.  There are 29 individual ticket items notices that are based on user restrictions in section 9 of the CC&R’s. It is assumed that most homeowners will rectify infractions once notified.  If any board member sees infractions he or she can notify Ron who will mail out notices. Ron handed out sample ticket items in addition to a ticket item list (ticket items listed below).

Legal Affairs: Carmen Scarlott. 

Carmen initiated a discussion of legal issues related to for-sale signs.  There is pending legislation that may prevent HOA’s from prohibiting homeowners from putting up for sale signs. However, this pending legislation does not prevent the HOA from regulating the type of for sale signs used.  Carmen will look into legal rights/actions the board can take in reference to signs that do not meet HOA specifications.

As the new legal affairs person for the Links Carmen will be provided contact information for the Links attorney, Carolyn Goldschmidt.  Any legal issues/questions that are not clear will be refereed to Ms. Goldschmidt.

Physical Plant: Fred Bader reported, he had a call from a resident on the south east side of Greenside Place who said there was a large gap in the expansion joint running 8 -10 feet between the curb and sidewalk in front of his house. Related to this, Tom Myers read an email he received from a homeowner on Fade Drive saying there is a section of Curb that has three drains in need of repair or replacement near his house.  Fred said that he will attempt to repair the section of curb on Fade and then evaluate it.  Fred will look into options for fixing the expansion joints between the curbs and sidewalks.

Landscape: Gerald Vigoren reported, the landscaper will remove an acacia, clean up the overgrown area that had hidden brick and cacti.   In other areas the trees will be trimmed. Some of the plants that were thought to be dead are coming back.  The landscaper will replace any that have died.  On the south east entrance there are two trees that appear dead and might have to come out.  There was a discussion about replacing them with Texas Laurels. Gerry will inquire as to the availability of water in that area.

ARC/Compliance: Margie Glieden reported there were problems with two homeowners on Greenside who have for-sale signs that are not in compliance with the Links for-sale sign specification.  One of the two homeowners also had a motorcycle that was for sale on the front yard. The motorcycle was removed after the homeowner was informed they were in violation of the CC&R’s. Ticket notice items will be sent to both homeowners that have for sale signs not in compliance with HOA Guidelines.

Margie also reported on ongoing and new pending projects and informed the board that Hank Glieden will serve on the ARC Committee.   

Communications: Marc Dallanegra. In Marc’s absence the board decided, the communication person should have new residents fill out a form with the following information: email address, full or part time status, and if part time what is/are the other residence(s). This information should be given to Carol Blazick (Neighborhood Watch Coordinator), Ron Perlman, and John Alley. Ron will develop the form for Marc.

A pallet near the tee on Torres Blancas hole #3 is covering a water pipe there that seems to be leaking.  It is assumed the pallet was placed on top of the pipe to prevent people from falling in.  Tom Meyers will follow up with Torres Blancas.

Our water bill was increased by $6 or 60%. The landscaper will be notified to inspect our irrigation system for leaks.

Tom Meyers will contact Barbara Servatka about putting out the NewsLlink on a quarterly basis.

Treasurer’s Report – John Alley

John Alley, Treasurer, reviewed the Income and Disbursements, 1st. Quarter Report, 2007.  Disbursement so far this year was $1253, which is less than 3% of the total 2007, budget and current net worth is $103,977. HOA taxes were filed. Taxes and fees came to approximately $1000 which was slightly over budget ($900).   John also outlined a plan to reimburse directors for money spent on behalf of the HOA.  It was also reported that all HOA dues are paid. There are 24 homeowners that have opted for the two payment plan.

MOTION:  Moved that we accept the Links HOA Income & Disbursements reports for the 4th quarter (M/S/C).  

President’s Comments – Tom Myers

Tom Myers reported on a strategic planning seminar he attended sponsored by the Community Association Institute’s Southern Arizona Chapter.  Tom mentioned the following:

  1. HOA leadership must maintain credibility and integrity.
  2. Use of formal reserve studies.
  3. Use of social functions to build a sense of community
  4. Create unique events to build a sense of community.
  5. Pending state Legislation that would limit use of emails in the transaction of HOA board business and require members of HOA’s be allowed to record, and or film HOA meetings.
  6. Legislation from the 2006 session requires that an HOA be owed at least $1,200  before foreclosure be pursued;  homeowners who receive a complaint are to be given the name of the person making the complaint.
  7. We fall under the Arizona “Planned Community Act.” Enforcement of the PCA is now handled by an Administrative Law Judge.

Tom talked about the upcoming meeting of the SRSHOA Master Associations on February 21st where they will be presenting their budget for the coming year.  Copies of the budget was distributed and a brief discussion followed.  Tom asked for volunteers to attend the meeting. 

Tom informed board members of a call he received on his answering machine from Green Valley Mortgage.  It seems they are interested in linking advertising to our web site. After a brief discussion it was decided to decline their offer.  Tom will inform them of the boards decision.

An email from a board member prompted a discussion about the erosion at the 8th fairway on Torres Blancas. After a discussion, Tom offered to call the golf course management for an update.

Secretary Ron Perlman presented a contact list that was updated with input from board members.  Ron also reported that he has been updating the web site and has not had to contact the developer to do routine updates.  This should result in us coming in under budget for this item.

Physical Plant: John Alley, in Fred Bader’s absence, reported that he had previously obtained an estimate of $26,800 to repair cracks in the curbs. Fred will monitor the situation.  A street light on Greenside was out and fixed.

ARC/Compliance: Margie Glieden informed us of changes to the ARC/Compliance committee.  Margie stated, the Carriers were planning on painting their house.  In the ensuing discussion, it was mentioned that there are about 15 approved colors.  Margie said she will follow up with Dorn (the builder) and try to get the list of approved colors.

Legal Affairs: Carmen Scarlott.  The only pending legal issue is the approval of the Amended and Restated By-laws.  Ballots are still coming in. The deadline for receiving ballots is February 28th. 

Landscape: Gerald Vigoren reported that plants donated by Juan and Anita Lichter were replanted across from the Links east gate entrance in the west side common area. Gerald outlined a plan where he will take pictures of different common areas, draw in what should be planted there, and give them to the landscaper for follow up.  All the plants that were put in last year will be redone under warranty.  A question about sprucing up the entrance on the west side  (drawing a plan and making the entrance more appealing) was brought up including updating the plantings just in front of both marquees on the west side.  It was mentioned that David Morales had promised to put flowers in the flower box under the sign each year as part of the contracted price.

Communications: Marc Dallanegra reported that there were two closing scheduled for February. Mark will ask Grace to start work on the cover for the new homeowner’s binder.

Ed Frantz, Treasurer, reviewed the Income and Disbursements, 4th Quarter Report, 2006.

MOTION:  Moved that we accept the Links HOA Income & Disbursements reports for the 4th quarter (M/S/C)

Ed also reviewed the Insurance Coverage for the community and the board, as well as the 2006 Financial Compilation (Condensed Version).   The condensed compilation was 26 pages and included information on the Links income, disbursements, budget, balance sheet,  reserve account, dues, and bank accounts (checking, savings, and CD’s). The complete compilation is approximately 120 pages and is available for any member of the community to review.  

President’s Comments – John Fanning

John Fanning delegated board members to assist in the presentation of the Annual Meeting.  

Ron Perlman, secretary was asked to check out the meeting room and discuss the configuration with a GVR representative.

Package for approval of the Links By-laws will be handed out after the meeting.  Included in this package will be a cover letter, ballot, copy of the By-laws, and a self addressed stamped envelope.  Copies of the homeowners guidelines and new member directory will also be given out after the meeting.  Before the meeting Ed’s financial compilation and last year’s minutes will be handed out.

John Alley and Manny Ventura were asked to provide a short presentation on their respective areas.  John, Physical Plant, and Manny, Landscape.


John reviewed with the 2006 board and the nominees for the 2007 board the flow of the annual meeting and the process of the election.  John also reminded those who will be on the 2007 board of the short meeting which will be after the annual meeting for the election of officers.

Some time was spent on transition of positions and general agreement was reached on the selection of officers and coordinators for 2007

Physical Plant – John Alley, Fred Bader

John Alley and Fred Bader briefly reviewed the history of the gates, the problems, and possible solutions.  Alltech, the company with whom we have our contract, has reduced their personnel dramatically making their response time to maintenance issues slower.  Also, increasing problems with the gate's electronics caused by the weather, dust and grit, cause malfunctions.

Fred discussed the curbs and cracking. One of the nominees, Holly Arvanites mentioned the need for extending the sidewalk to the mailboxes on the east side. These will be issues for the 2007 board.

Landscape: - Manny Ventura, Gerald Vigoren

Manny reported that Dave Morales will take care of the drains (weep holes from homeowners walls adjacent to common area) two at a time, and gradually fix them all.

Jerry mention that the contractor’s bill won’t be due until April and mentioned that there may be increased in contracting fees because of an expected increase in the minimum wage.  It was mentioned that a 5% would seem reasonable.  The HOA will seek bids from other contractors.

There was also a brief discussion on the proper way of trimming trees.

ARC/Compliance:  Harry Cook

Margie Glieden agreed to take over as chairperson of the ARC/Compliance and will contact Harry Cook who will assist in the transition.

Legal Affairs: Juan Lichter

Carmen Scarlott agreed to take over as chairperson of Legal Affairs.
